Terms of Service

A note on this document This is Novaro's first published Terms of Service, prepared to clearly set expectations between Novaro, shippers, and truck owners as the platform launches. It has not yet been reviewed by a Nigerian-qualified lawyer. It will be formally reviewed and may be updated as Novaro grows — you'll always be able to find the current version at this page, dated and versioned.

These Terms of Service ("Terms") govern your access to and use of Novaro, a freight and logistics marketplace platform operated by Improvised Technology and Services ("ITS", "Novaro", "we", "us", or "our"), a company registered in Nigeria (CAC Reg. No. 7586359). By creating an account or using Novaro in any way, you agree to be bound by these Terms. If you do not agree, please do not use the platform.

1. What Novaro Is

Novaro is a technology platform that connects shippers (businesses or individuals who need goods transported) with truck owners and drivers (who provide transport). Novaro is a marketplace facilitator — we do not own, operate, or drive any trucks ourselves, and we are not a party to the actual contract of carriage between a shipper and a truck owner. Our role is to help you find each other, agree on a price, move payment safely through escrow, and give both sides a record of what happened.

2. Who Can Use Novaro

  • You must be at least 18 years old and able to form a legally binding contract under Nigerian law.
  • You must provide accurate, current information when registering, and keep it up to date.
  • You are responsible for keeping your password confidential and for all activity on your account.
  • One account per person or business — accounts are not transferable.

3. Account Types & Identity Verification

You may register as an Individual or a Business. Business accounts must provide a valid Corporate Affairs Commission (CAC) registration number.

Truck owners must provide a National Identification Number (NIN) or passport number at registration. This is required because truck owners are entrusted with other users' goods and with money moving through escrow — we ask for this to establish real accountability. Shippers may optionally provide the same. Any identification number you provide is encrypted before storage and is never shared with other users or displayed publicly; see our Privacy Policy for full detail on how this is handled.

We reserve the right to request additional verification at any time and to suspend accounts where information provided appears false or cannot be verified.

4. Orders, Quotes & Pricing

  • A shipper posts a shipment describing the cargo, pickup and drop-off points, and other relevant details.
  • Novaro (or, in some cases, an available truck owner) provides a quoted price for the job.
  • Once a shipper accepts a quote and pays, the order is confirmed and a truck owner is matched to it.
  • Prices quoted are for the specific job as described. Materially inaccurate information about cargo (weight, type, value, special handling needs) may result in a revised price, a cancelled order, or removal from the platform if done deliberately to mislead.

5. Payments & Escrow

Payment for an order is collected upfront from the shipper and held in escrow by Novaro's payment processor, not released to the truck owner until the shipment is confirmed delivered. Depending on the order, payment may be collected in full upfront, or as a partial upfront amount with the remainder collected before final release.

We use a third-party licensed payment processor to handle all payment collection and storage of payment card or bank details — Novaro itself never stores your card or full bank account details.

Upon delivery confirmation (by the shipper, or automatically after a reasonable window if the shipper does not respond), escrowed funds are released to the truck owner, minus Novaro's commission.

6. Novaro's Commission

Novaro charges a commission on each completed order, deducted from the amount released to the truck owner. The commission rate is disclosed to truck owners before they accept a job, showing the exact amount they will receive after Novaro's fee. Novaro may change its commission rate at any time; any such change applies only to orders placed after the change — it never retroactively affects an order already booked at a different rate.

7. Cancellations & Refunds

  • Orders may be cancelled before a truck owner has been matched and dispatched, subject to any cancellation terms shown at the time.
  • Once a truck has been dispatched or cargo collected, cancellation may not be possible, or may be subject to a cancellation charge to compensate the truck owner for costs already incurred.
  • Refunds for undelivered or damaged cargo, or other service failures, are handled case by case — contact us as described in Section 14 below.
  • Novaro does not guarantee a refund in every circumstance; each situation is assessed on its facts.

8. Truck Owner & Driver Responsibilities

  • Truck owners are responsible for the roadworthiness of their vehicles, the competence and conduct of their drivers, and compliance with all applicable transport and road safety laws.
  • Truck owners must accurately represent their vehicle's capacity, type, and condition on the platform.
  • Truck owners are responsible for the safe handling and timely delivery of cargo accepted for transport.
  • Any driver operating under a truck owner's account is the truck owner's responsibility; the truck owner remains accountable for that driver's actions on the platform.

9. Shipper Responsibilities

  • Shippers must accurately describe the cargo being shipped, including weight, nature of goods, and any special handling requirements.
  • Shippers must not tender prohibited, illegal, or dangerous goods for transport (see Section 10).
  • Shippers are responsible for ensuring cargo is properly packaged for transport unless otherwise agreed.

10. Prohibited Goods & Conduct

You may not use Novaro to ship or facilitate the shipment of: illegal goods or substances under Nigerian law; weapons, ammunition, or explosives; counterfeit goods; hazardous materials without proper disclosure and handling; or any cargo intended to defraud another party. We reserve the right to refuse, suspend, or cancel any order that we reasonably believe violates this section, and to report suspected illegal activity to the relevant authorities.

11. Disputes Between Users

Where a disagreement arises between a shipper and a truck owner (for example, over damaged cargo, late delivery, or a payment disagreement), Novaro will attempt to help mediate based on the information and evidence available on the platform. Novaro is not a court or arbitrator and cannot compel either party to a specific outcome, but we may suspend disputed funds in escrow, request additional information, or make a good-faith determination on releasing or refunding funds where appropriate.

12. Account Suspension & Termination

We may suspend or terminate your account, with or without notice, if we reasonably believe you have violated these Terms, provided false information, engaged in fraudulent or illegal activity, or where required by law. You may close your account at any time by contacting us; any orders in progress at the time must first be resolved.

13. Limitation of Liability

To the fullest extent permitted by Nigerian law, Novaro's liability for any claim arising from your use of the platform is limited to the commission we received on the order giving rise to the claim. Novaro is not liable for the acts or omissions of shippers, truck owners, or drivers — including damage to, loss of, or delay of cargo — as Novaro is not the carrier and does not take physical possession of any goods. Nothing in these Terms limits liability that cannot be limited under Nigerian law.

15. Changes to These Terms

We may update these Terms from time to time as Novaro grows. Material changes will be reflected by a new version number and effective date at the top of this page. Continued use of Novaro after a change takes effect constitutes acceptance of the updated Terms.

16. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes arising from these Terms or your use of Novaro that cannot be resolved informally shall be subject to the jurisdiction of the courts of the Federal Capital Territory, Abuja.
